1. Acceptance of Terms and Binding Agreement

By accessing, browsing, or using the LegalTech Open website (the "Website"), registering for, attending, or participating in the LegalTech Open golf tournament (the "Event"), you ("Participant," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (the "Agreement") and all applicable laws and regulations.

This Agreement constitutes a legally binding contract between you and LegalTech Open, including its organizers, directors, officers, employees, agents, volunteers, sponsors, partners, affiliates, successors, and assigns (collectively, the "Released Parties").

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS THE WEBSITE OR REGISTER FOR OR PARTICIPATE IN THE EVENT. Your continued use of the Website or participation in the Event constitutes your ongoing acceptance of this Agreement and any amendments thereto.

2. Definitions

In this Agreement:

  • "Event" means the LegalTech Open golf tournament, including all related activities, functions, social gatherings, and ancillary events
  • "Event Premises" means the golf course, clubhouse, parking facilities, and all other locations where Event activities take place
  • "Released Parties" means LegalTech Open and its organizers, directors, officers, employees, agents, volunteers, contractors, sponsors, partners, affiliates, the golf course and its owners/operators, vendors, suppliers, successors, and assigns, both individually and collectively
  • "Claims" means any and all claims, demands, actions, causes of action, suits, debts, dues, accounts, bonds, covenants, contracts, judgments, damages, losses, costs, and expenses of any kind, whether known or unknown, foreseen or unforeseen

3. Eligibility and Capacity

By registering for or participating in the Event, you represent and warrant that:

  • You are at least 19 years of age (the age of majority in Ontario)
  • You have the legal capacity to enter into this binding Agreement
  • You are not prohibited by any court order, law, or regulation from participating
  • All information you provide is accurate, complete, and truthful
  • You are physically and mentally fit to participate in golf and related activities

4. Event Registration

Registration for the Event is subject to availability, confirmation, and acceptance by LegalTech Open in its sole and absolute discretion. LegalTech Open reserves the right to refuse, cancel, or revoke any registration for any reason or no reason, without liability.

By registering, you agree to:

  • Provide accurate and complete registration information
  • Pay all applicable registration fees in full at the time of registration
  • Abide by all rules and regulations of the golf course, tournament, and Released Parties
  • Conduct yourself in a professional, respectful, and lawful manner
  • Comply with all instructions and directions from Event staff and officials

5. Payment and Cancellation

All registration fees are due and payable in full at the time of registration in Canadian dollars. All registration fees are non-refundable.

  • No refunds will be issued for any cancellations, regardless of timing
  • Registration transfers to another person may be made at any time at no additional cost, subject to approval
  • Failure to attend the Event does not entitle you to a refund

LegalTech Open reserves the right to cancel, postpone, or modify the Event at any time for any reason, including but not limited to weather, insufficient registrations, venue issues, or circumstances beyond its control. In the event LegalTech Open cancels the Event, LegalTech Open may, in its sole discretion, offer a credit toward a future event or a partial refund less any non-recoverable costs incurred. The Released Parties shall have no liability for any other costs, expenses, damages, or losses incurred by you.

6. Assumption of Risk

YOU ACKNOWLEDGE AND UNDERSTAND THAT PARTICIPATION IN THE EVENT INVOLVES INHERENT AND SIGNIFICANT RISKS, DANGERS, AND HAZARDS. These risks include, but are not limited to:

  • Physical injury from golf activities, including being struck by golf balls, clubs, or carts
  • Injuries from slips, trips, falls, or uneven terrain
  • Exposure to weather conditions including heat, cold, sun, rain, lightning, and wind
  • Injuries from golf cart operation or transportation
  • Allergic reactions, food-borne illness, or adverse reactions to food or beverages
  • Injuries caused by other participants, spectators, or third parties
  • Property damage, theft, or loss
  • Medical emergencies, illness, or aggravation of pre-existing conditions
  • Risks associated with alcohol consumption
  • Any other risks inherent to outdoor sporting events

BY REGISTERING FOR AND PARTICIPATING IN THE EVENT, YOU VOLUNTARILY ASSUME ALL RISKS OF INJURY, ILLNESS, DEATH, OR PROPERTY DAMAGE ARISING FROM OR RELATED TO YOUR PARTICIPATION, WHETHER CAUSED BY THE NEGLIGENCE OF THE RELEASED PARTIES OR OTHERWISE.

7. Release and Waiver of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE THE RELEASED PARTIES from any and all Claims arising out of or related to:

  • Your participation in the Event or use of the Website
  • Any injury, illness, death, or property damage you may suffer
  • The negligence, gross negligence, or willful misconduct of the Released Parties
  • Any breach of contract, statutory duty, or other obligation
  • Any act or omission of the Released Parties or third parties
  • Any defect in equipment, facilities, or premises
  • Any failure to warn of risks or dangers

This release is intended to be as broad and inclusive as permitted by the laws of the Province of Ontario and shall be binding upon you, your heirs, executors, administrators, personal representatives, and assigns. If any portion of this release is held invalid, the remainder shall continue in full force and effect.

8. Liability Waiver Requirement

All participants are required to execute a separate liability waiver and release form before participating in the Event. This waiver must be completed on or before the day of the Event.

  • Waivers will be available for digital signature upon registration confirmation
  • Paper waivers will also be available at the registration desk on the day of the Event
  • Participants who do not sign the waiver will not be permitted to participate
  • No refunds will be issued to participants who refuse to sign the waiver

9. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all Claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or related to: (a) your participation in the Event or use of the Website; (b) your breach of this Agreement; (c) your violation of any law or the rights of any third party; (d) any injury or damage caused by your actions or omissions; or (e) any Claims brought by your heirs, executors, administrators, or assigns. This indemnification obligation shall survive the termination of this Agreement and your participation in the Event.

10. Disclaimer of Warranties

THE EVENT, WEBSITE, AND ALL RELATED SERVICES, FACILITIES, EQUIPMENT, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Any warranties arising from course of dealing, usage, or trade practice
  • Any warranties regarding the safety, quality, accuracy, or reliability of the Event or Website
  • Any warranties that the Event will meet your expectations or requirements
  • Any warranties that the Website will be uninterrupted, error-free, or secure
  • Any warranties regarding the accuracy or completeness of any information provided

No advice or information, whether oral or written, obtained from the Released Parties shall create any warranty not expressly stated in this Agreement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES
  • THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING FROM YOUR PARTICIPATION IN THE EVENT
  • IN NO EVENT SHALL THE TOTAL LIABILITY OF THE RELEASED PARTIES EXCEED THE AMOUNT OF REGISTRATION FEES ACTUALLY PAID BY YOU FOR THE EVENT
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of the Released Parties shall be limited to the greatest extent permitted by law.

12. Medical Acknowledgment

By participating in the Event, you represent and warrant that:

  • You are in good physical health and have no medical conditions that would impair your ability to safely participate
  • You have consulted with a physician if you have any concerns about your ability to participate
  • You will immediately notify Event staff of any medical emergency or injury
  • You consent to receive emergency medical treatment if necessary
  • You are solely responsible for any medical expenses incurred

The Released Parties are not obligated to provide medical personnel or equipment and make no representations regarding the availability or quality of medical services.

13. Photography, Media, and Publicity

By attending the Event, you irrevocably grant the Released Parties the perpetual, worldwide, royalty-free, and transferable right and license to:

  • Photograph, film, record, or otherwise capture your image, voice, likeness, and statements
  • Use, reproduce, modify, distribute, display, and create derivative works of such materials
  • Use your name, image, likeness, and biographical information for promotional, advertising, and commercial purposes

You waive any right to inspect or approve any such materials and any right to compensation or royalties. You release the Released Parties from any Claims related to the use of your image or likeness.

14. Logo and Brand Usage

By registering as a participant or sponsor, you grant LegalTech Open a perpetual, royalty-free license to use your company name, logo, trademarks, and brand elements for:

  • Event promotional materials (print and digital)
  • Event website and registration pages
  • Social media posts and announcements
  • Post-event recaps and thank-you communications
  • Future event marketing referencing past participants and sponsors

You may request removal of your logo from future materials by contacting us in writing at info@legaltechopen.com.

15. Code of Conduct

All participants must:

  • Follow all golf course rules, etiquette, and dress codes
  • Treat fellow participants, staff, and volunteers with respect
  • Refrain from any behavior that could endanger others or damage property
  • Comply with all applicable laws and regulations
  • Consume alcohol responsibly and refrain from participating while impaired
  • Follow all instructions from Event staff and officials

LegalTech Open reserves the right, in its sole discretion, to remove any participant who violates this code or engages in inappropriate behavior, without refund and without liability.

16. Force Majeure

The Released Parties shall not be liable for any failure or delay in performing their obligations due to circumstances beyond their reasonable control, including but not limited to: acts of God, natural disasters, weather conditions, pandemic, epidemic, government actions, war, terrorism, civil unrest, strikes, labour disputes, utility failures, or any other force majeure event. In such circumstances, the Released Parties may cancel, postpone, or modify the Event without liability.

17. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in Toronto, for any disputes arising out of or related to this Agreement or your participation in the Event. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

18. Dispute Resolution

Any dispute arising out of or related to this Agreement or the Event shall first be subject to good faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario).

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Released Parties.

19. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from this Agreement. The invalidity of any provision shall not affect the validity or enforceability of any other provision, and all other provisions shall remain in full force and effect.

20. Entire Agreement

This Agreement, together with any liability waiver signed by you, constitutes the entire agreement between you and LegalTech Open with respect to your participation in the Event and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. No modification of this Agreement shall be binding unless in writing and signed by an authorized representative of LegalTech Open.

21. No Waiver

The failure of LegalTech Open to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement shall be effective only if in writing and signed by LegalTech Open.

22. Assignment

You may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of LegalTech Open. LegalTech Open may freely assign this Agreement without restriction. This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, successors, and permitted assigns.

23. Third Party Beneficiaries

The Released Parties (other than LegalTech Open) are intended third-party beneficiaries of this Agreement and shall have the right to enforce the provisions hereof, including but not limited to the release, waiver, indemnification, and limitation of liability provisions.

24. Survival

The provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to: assumption of risk, release and waiver, indemnification, disclaimer of warranties, limitation of liability, governing law, and dispute resolution.

25. Changes to Terms

LegalTech Open reserves the right to modify, amend, or update this Agreement at any time in its sole discretion. Changes will be effective immediately upon posting to this Website. Your continued use of the Website or participation in the Event after any such changes constitutes your acceptance of the modified Agreement. It is your responsibility to review this Agreement periodically for changes.

26. Acknowledgment

BY REGISTERING FOR OR PARTICIPATING IN THE EVENT, YOU ACKNOWLEDGE THAT:

  • You have carefully read and fully understand all provisions of this Agreement
  • You are voluntarily giving up substantial legal rights, including the right to sue
  • You have had the opportunity to seek independent legal advice
  • You intend this Agreement to be a complete and unconditional release of all liability
  • You agree to be bound by all terms and conditions set forth herein
